Restructuring of russian chain of restaurants

The group of companies was fragmented and comprised more than 100 legal entities. The ultimate beneficiaries decided to formalize their control over the group, inter alia, for the purposes of improving asset protection and business manageability. At the same time, one of the beneficiaries decided to withdraw from the group.

KIAP corporate team developed options of transition from the current to the target group structure and analyzed legal and tax implications of restructuring. Some of the options involved the use of investment funds.

The client’s demands for a high speed of transition and a minimum number of necessary legal procedures were taken into account. Moreover, the existing external and intra-corporate debt burden forced to reject restructuring options that involved significant financial flows.
