- negotiations on the terms of the deal (multi-hour rounds of negotiations with participants from 5 time zones);
- development of discrepancy reports;
- preparation of draft transaction documents on the sellers’ side, including the shareholders agreement;
- preparation of documents for corporate approval and closing of the deal as well as agreements with management;
- support on disclosure letter issues;
- coordination of Cypriot and Polish lawyers involved in the closing of the deal.
A special feature of the project was the need to legally protect the interests and motivation of the remaining management of the group.
